1. Acceptance of Terms

By accessing or using NegoAgent (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

2. Description of Service

NegoAgent is an intelligent negotiation platform that provides tools for preparing, auditing, and strategizing for negotiations. The Service includes AI-powered analysis, structured audit frameworks, coaching suggestions, and collaboration features for negotiation teams.

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. AI Disclaimer and Limitations

CRITICAL NOTICE: NegoAgent uses artificial intelligence (AI) to generate negotiation suggestions, analysis, and recommendations. These AI-generated outputs are for informational and preparatory purposes ONLY.

NOT Professional Advice: NegoAgent does not provide legal, financial, tax, medical, or professional advice. AI suggestions may be incomplete, outdated, or incorrect.
Your Responsibility: You are solely responsible for verifying all AI-generated content, exercising independent judgment, and for all negotiation outcomes and agreements you enter into.
No Guarantees: We do not guarantee the accuracy, completeness, or usefulness of AI outputs. Past performance does not guarantee future results.
Model Limitations: AI models may exhibit biases, hallucinations, or inconsistencies. Always consult qualified professionals for critical decisions.

4. User Accounts and Security

To use NegoAgent, you must create an account through our authentication provider, Clerk. You agree to:

Provide accurate, current, and complete information during registration and keep it updated.
Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized access or use.
Be responsible for all activities conducted under your account, whether authorized or not.
Not share your account with others or allow others to access your account.

We reserve the right to suspend or terminate accounts that violate these terms or that appear to be used for fraudulent or unauthorized purposes.

5. Subscriptions and Payments

NegoAgent offers both free and paid subscription plans. By selecting a paid plan, you agree to:

Pay all applicable fees as described on our Pricing page. All fees are exclusive of taxes unless stated otherwise.
Authorize us to charge your selected payment method on a recurring basis (monthly or annual) until you cancel.
Understand that subscriptions automatically renew unless canceled at least 24 hours before the renewal date.
Accept that fees are generally non-refundable, though we may consider exceptions at our discretion.
Be responsible for any taxes associated with your use of the Service.

Price changes will be communicated at least 30 days in advance via email or in-app notification. Continued use after a price change constitutes acceptance of the new rates.

6. User Content and Data

You retain ownership of all data, information, and content you upload or input into NegoAgent ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to process, store, and use your User Content solely to:

Provide and improve the Service
Perform AI analysis and generate suggestions
Ensure security and prevent fraud
Comply with legal obligations

You represent and warrant that you have all necessary rights to upload your User Content and that it does not violate any third party rights or applicable laws.

7. Data Storage, Security, and Retention

NegoAgent implements industry-standard security measures to protect your information.

Data Location: Your data is stored in secure cloud infrastructure managed by Convex.
Security: We use encryption, access controls, and regular security assessments. However, no system is 100% secure.
Retention: Your data is retained as long as your account is active. Upon account deletion, some data may be retained for backup, legal, or fraud prevention purposes as permitted by law.
Backups: Regular backups are maintained for business continuity and disaster recovery.

8. Confidentiality and Sensitive Information

NegoAgent is designed to handle sensitive negotiation data. You should:

Avoid entering highly confidential information (e.g., trade secrets, classified data) unless you have appropriate safeguards in place.
Understand that while we implement security measures, you assume risk when transmitting sensitive data over the internet.
Use the Service in compliance with your own confidentiality obligations to third parties.

We will not intentionally disclose your negotiation data to third parties except as described in our Privacy Policy or as required to provide the Service.

9. Intellectual Property

The NegoAgent platform, including its software, design, logos, trademarks, and documentation, is owned by NegoAgent and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain all rights to your User Content. However, by using the Service, you grant us a license to process your data to provide the Service as described in Section 6.

10. Acceptable Use and Prohibited Activities

You agree not to use NegoAgent to:

Engage in illegal activities, fraud, or deceptive practices.
Harass, threaten, or harm others, or promote discrimination.
Attempt to reverse-engineer, decompile, or extract the AI models or source code.
Use automated tools (bots, scrapers) to access the Service without permission.
Interfere with or disrupt the Service's operation or security.
Upload malicious code, viruses, or harmful content.
Impersonate others or provide false information.
Use the Service for unauthorized mass communication or spam.
Violate any applicable laws or regulations.

11. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

Perform maintenance that temporarily affects availability.
Modify, suspend, or discontinue features or the entire Service.
Change AI models, algorithms, or suggestion methodologies without notice.
Limit or restrict usage if we suspect abuse or security risks.

We are not liable for any losses resulting from service interruptions, modifications, or discontinuations.

12. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access if you:

Violate these Terms or our policies
Engage in fraudulent or harmful activities
Fail to pay fees for paid plans
Request account deletion

Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 9, 13, 14, and 15 shall survive termination.

13. Indemnification

You agree to indemnify and hold harmless NegoAgent, its affiliates, officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

Your use of the Service
Your User Content
Your violation of these Terms
Your negotiation outcomes or agreements with third parties

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NegoAgent AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Damages arising from your reliance on AI-generated content
Negotiation outcomes, contracts, or agreements you enter into
Service interruptions, data loss, or security breaches

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

15. Dispute Resolution and Governing Law

These Terms shall be governed by the laws of the jurisdiction in which NegoAgent operates, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration (except for small claims court actions) in the applicable jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

In-app notification or banner
Updated "Last Updated" date on this page

Continued use of the Service after changes constitutes acceptance. If you do not agree with the changes, you must stop using the Service and may terminate your account.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
